CUSTOMER REFERRAL PROGRAM TERMS AND CONDITIONS

1. Introduction

Welcome to A2A Town (Cambodia) Co., LTd. (“Company”, “we”, “our”, “us”)!

We offer individual or business (“Referrer”, “Casstack Ambassador”, “you”) the opportunity to participate in our referral program (the “Program”) by referring individuals or business entity representatives to use our paid version of Chatbot for Business on Facebook pages, and Messengers, and other Social Media business accounts including but not limited to Instagram, WhatsApp, Telegram and Line, which can be registered at booster.casstack.com and/or casstack.com (hereinafter referred to as “Service”).

We reserve the right to amend or terminate the Program at any time, for any reason. The Program is administered by A2A Town (Cambodia) Co., LTd.

If you do not agree to these Terms and Conditions (“Terms”) in their entirety or part, you are not authorized to register as a Referrer or to participate in the Program in any other manner. Referrers may not participate in the Program where doing so would be prohibited by any applicable law or regulations. This program is not applicable for A2A Town (Cambodia) Co., LTd's employees or interns.

This Program is not applicable for Casstack Enterprise Pricing Plan (“Enterprise Plan”). If you wish to refer client that might choose our Enterprise Plan (refer at https://www.casstack.com/pricing), contact us at sales@casstack.com and follow the procedures given there.

We reserve the right to modify or amend at any time these Terms and Conditions and/or the methods through which Rewards are earned. We reserve the right to disqualify any Referrers from participation in the Program at any time at our sole discretion, including without limitation if he/she (the Referrer) does not comply with any of these Terms and Conditions or otherwise fails to comply with any applicable laws.

Your agreement with us includes these Terms and our Privacy Policy (“Agreements”).

2. How the Program Works

Qualified Referrals: A qualified referral occurs when all the following conditions meet:

(i). The Referrer introduces our service to a person or a business entity representative (“the Referred”), via either of the referral activity types: digital and non-digital. Digital referral activity includes any type of activity and communication means to conduct referral activity for our service by using the digital network and or the Internet including but not limited to online conferences, telesales, and social media (e.g. Email, Facebook, Twitter, Instagram, Telegram, Line, and Whatsapp). Non-digital referral activity includes any type of activity and communication means to conduct referral activity for our service to the Referred in-person (e.g. direct service introduction, presentation, and pre-sale to businesses directly at their offices). Optionally, for both activity types, the Referrer can conduct pre-sale to explain about our service if necessary.

(ii). The Referrer has to provide any way possible to the Referred to reach our sales and marketing team. One of the following cases must be applied:

0.1. If the Referred can register via casstack.com or booster.casstack.com (“our Platform”), the Referrer has to allow the Referred to do so.

0.2. If the Referred cannot register via our Platform, the Referrer has to provide our sales and marketing team the contact of the Referred.

(iii). The Referrer must submit the proof of referral to our sales and marketing team stating a particular Referred is indeed was referred by you (“Qualified Referral”). One of the following cases must be applied:

0.1. If you are providing the contact with our sales and marketing team and the Referred is aware that we are going to contact them while contacting, you are automatically verified with the proof of referral for the particular Referred.

0.2. For digital referral activity that the Referred registered by themselves via our Platform, the Referrer must submit the proof of referral. The proof of referral submission is included but not limited to screenshots of service introduction directly done with the Referred, the Referred's positive response, and or the phone contact history for telesales. We might have to request the information from the Referred about how they know our service as an extra verification process.

0.3. For non-digital referral activity that the Referred registered by themselves via the Platform, in order to verify the proof of referral, the Referred must include either your name, your contact or your business entity to the response when we request them for the information from the Referred about how they know our service.

You can optionally send us the photos or screenshots or a notification that the particular Referred will be using our service within one month to boost up the verification process.

(iv). The Referred makes the deal with our company to use at least one of our services you introduced to them.

Eligibility: To be eligible for participation in the Program, the Referrer must be at least 18 years of age, or at least you are a current 12th grade Student, in Cambodia. A2A Town (Cambodia) Co., LTd., reserves the right to find ineligible any Participant in the Program at its sole discretion.

Conduct: A2A Town (Cambodia) Co., LTd., reserves the right, at its sole discretion, to prohibit any Referrer from participating in any aspect of the Program if we deem or suspect that such Referrer has engaged in or has attempted to engage in any of the following:

(i). Acting in violation of these Program Terms and Conditions.

(ii). Damaging, tampering with, or corrupting the operation of the Program.

(iii). Activity deemed in the sole discretion of A2A Town (Cambodia) Co., LTd., to be generally inconsistent with the intended operation of the Program.

A2A Town (Cambodia) Co., LTd. shall be the sole determiner in cases of suspected abuse, fraud, or breach of this Program Terms and Conditions or intent of this Program Terms and Conditions.

3. Referral Fee

Amount of Referral Fee:  For the first twelve months of each Qualified Referral, the Referrer will receive 10% of the monthly service fee (defined at https://www.casstack.com/pricing) on a monthly basis if the Referred pays to A2A Town (Cambodia) Co., LTd. for the service for that month.

Example: There are three Qualified Referrals in your account, and the Referred of each Qualified Referral pays to us monthly. Assuming each of them pays the same amount for our service of $37.5 for the 1st month, 150$ for the 2nd month, 70$ for the 3rd month.

The first month you will receive $11.25

$37.5 (service fee) * 0.1 (referral amount fee) * 3 (3 qualified referral that pays) = $11.25

The second month you will receive $45.00

$150 * 0.1 * 3 = $45.00

The third month you will receive $21.00

$70 * 0.1 * 3 = $21.00.

This calculation model continues until the 12th month. In the 13th month, the Referrer will receive no further Referral Fee.

Payment Conditions: A2A Town (Cambodia) Co., LTd. will pay the Referral within 7days after the Referred of the Qualified Referral has paid for our service. Referral Fees are paid via ABA Bank direct transfer. The Referrer must have a valid ABA account to receive referral fees, as A2A Town (Cambodia) Co., LTd. does not offer payment via check, credit card, or cash.

4. Liability

Binding Effects: By participating in the Program, you agree to and are bound by the Program Terms and Conditions. If you do not wish to agree to and abide by the Program Terms and Conditions in their entirety or part, you are not authorized to participate in the Program.

Release: By participating in the Program, Participants release A2A Town (Cambodia) Co., LTd., its parent company, subsidiaries, affiliates, suppliers, advertising, and promotions agencies and their respective directors, officers, employees, and agents from any and all liability for any loss, harm, damages, cost, or expense, including, without limitation, property damages, personal injury and/or death, arising out of or in any way connected to the Program and/or the use of any Program rewards.

Indemnification: Participants agree to indemnify, defend, and hold A2A Town (Cambodia) Co., LTd., and its representatives and agents harmless from and against any and all third party claims, demands, liabilities, costs, or expenses, including attorney’s fees and costs, arising from, or related to any breach by the participant of any of these Program Terms and Conditions or any violation by Participant of applicable law.

5. Disclaimer

Computer System: A2A Town (Cambodia) Co., LTd. disclaims any liability for damage to any computer system resulting from participating in, or accessing or downloading information in connection with the Program, and reserves the right, in A2A Town (Cambodia) Co., LTd.’s sole discretion, to cancel, modify, or suspend the Program should a virus, bug, computer problem, unauthorized intervention, or other causes beyond A2A Town (Cambodia) Co., LTd.’s control, corrupt the administration, security, or proper play of the Program.

Reserved Right: A2A Town (Cambodia) Co., LTd. reserves the right to cancel or suspend the Program should it determine, in its sole discretion, that the administration, security, or fairness of the Program has been compromised in any way.

Disclaimer of Warranties: PARTICIPANTS AND PROSPECTIVE PARTICIPANTS EXPRESSLY UNDERSTAND AND AGREE THAT: (A) YOUR USE OF THE PROGRAM IS AT YOUR SOLE RISK, THE PROGRAM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS AND THE COMPANY EXPRESSLY DISCLAIMS ALL WARRANTIES, CONDITIONS AND TERMS (COLLECTIVELY, "PROMISES") OF ANY KIND, WHETHER EXPRESS OR IMPLIED BY STATUTE, COMMON LAW OR CUSTOM, INCLUDING, BUT NOT LIMITED TO, PROMISES AS TO PRODUCTS OR SERVICES OFFERED THROUGH THE USE OF THE PROGRAM, IMPLIED PROMISES OF MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT; (B) A2A TOWN (CAMBODIA) CO., LTD. MAKES AND GIVES NO PROMISE THAT (i) THE PROGRAM WILL MEET YOUR REQUIREMENTS, (ii) BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, (iii) THE RESULTS OBTAINED FROM THE USE OF THE PROGRAM WILL BE ACCURATE OR RELIABLE, (iv) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL OBTAINED BY YOU THROUGH THE PROGRAM WILL MEET YOUR EXPECTATIONS, AND (v) ANY ERRORS IN THE SERVICE WILL BE CORRECTED; AND (C) ANY MATERIAL DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE PROGRAM IS ACCESSED AT YOUR OWN DISCRETION AND RISK, AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR MOBILE DEVICE OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OR USE OF ANY SUCH MATERIAL.

6. Other Terms

General Terms: These Program Terms and Conditions constitute the entire agreement between Participants and A2A Town (Cambodia) Co., LTd. concerning Participants’ use of the Program. The failure of A2A Town (Cambodia) Co., LTd. to exercise or enforce any right or provision of these Program Terms and Conditions shall not constitute a waiver of such right or provision.

Term: The effects of Agreement will begin upon our acceptance of your Program application and will end when terminated by either party. Either you or we may terminate this Agreement at any time, with or without cause, by giving the other party notice of termination. Notice by e-mail from sales@casstack.com or by telegram direct message from our sales and marketing team (@casstack_sales), to your address on our records, is considered sufficient notice to terminate this Agreement.

7. Acknowledgment

BY APPLYING FOR THIS PROGRAM, YOU ACKNOWLEDGE THAT YOU HAVE READ THESE PROGRAM TERMS AND CONDITION, AND AGREE TO BE BOUND BY THEM.
